How nyinto works

nyinto is a paid, private diary. To make sure there are no surprises, we commit to these seven promises:

  1. Trial month without payment details. One month to try it out — no card, no PayPal, no automatic renewal. If you do nothing, nothing kicks in: your account is locked, your data stays for 30 more days, then we delete it. No "oh no, I forgot to cancel" moment.

  2. Cancel monthly, no hidden lock-in. Your subscription runs for exactly one month from the booking day — book on January 7 and it runs until February 6, 23:59. Until then you can cancel any time; if you do nothing, it auto-renews for another month. No button buried deep in the settings, no three-month notice, no retention call.

  3. €2.50 per month — and that stays your price. If we ever raise the price, the new rate only applies to new subscriptions. As long as your subscription keeps running, you stay on the price you started with. No silent bump by email.

  4. 14-day right of withdrawal, no fine print. If you take out a subscription after the trial month, you can withdraw within 14 days — informally, by email. Whatever you used in the meantime is billed pro rata to the day; the rest comes back to you.

  5. Your entries belong to you. You only grant us permission to store them and show them to you. No AI training, no analysis, no sharing, no publication. Deleting your account fully revokes that permission to save your data.

  6. When your subscription ends, your data isn't gone right away. It sits locked for 6 months — you can't access it, neither can we. If you start a new subscription within that time, everything is back. After 6 months, we delete it for good.

  7. Fair rules, both ways. We don't lock anyone out arbitrarily. If we ever do have to lock an account (e.g. for unlawful content), we tell you the reason. If the lock wasn't your fault, we refund the unused part of the month pro rata.

Terms of Service

§ 1 Scope, contracting parties, definitions

These Terms of Service ("Terms") govern the contractual relationship between you as a consumer and mitarbeiterglück UG (haftungsbeschränkt), Hardenbergstraße 31, 90491 Nürnberg, Germany (hereinafter "nyinto"), regarding use of the online service nyinto under the domain nyinto.com and associated subdomains.

A consumer for the purposes of these Terms is any natural person who enters into a legal transaction for purposes that can predominantly be attributed neither to their commercial nor to their independent professional activity (Section 13 of the German Civil Code, BGB). nyinto is intended exclusively for consumers.

Definitions:

  • Trial month: The first 30 days from registration. During this period, nyinto can be used free of charge; a paid contract only comes into being through an active booking of the subscription.
  • Subscription: The subscription that runs for one month from the booking day and renews automatically (see § 5).
  • Locked mode: A state of the account in which content can neither be displayed, modified nor added, but the stored data is preserved for a limited period of time.

§ 2 Subject matter of the contract

nyinto provides a web-based, private diary service that lets you combine texts, references to media (e.g. on your own Nextcloud), GPS tracks (GPX) and manually placed locations into diary entries. Content is visible only to you; there is no functionality to make content publicly available within the platform or share it with other users.

nyinto is not a file hosting service, not a social platform and not a general backup service. Photos, videos and large media files are hosted on external services you connect (e.g. Nextcloud) — nyinto only stores references and small preview caches.

The use of external services (Strava, Komoot, Nextcloud, Mollie, OpenStreetMap and others) is optional and is regulated separately in § 10.

§ 3 Registration, trial month, conclusion of contract

To use nyinto, you must register with a valid email address and confirm it. The trial month begins with your first login after successful registration. During the trial month, no payment details are required. No paid contract is created, and the subscription does not renew automatically.

After the 30 days of the trial month have elapsed, the account is placed in locked mode unless you have previously taken out an active subscription. In locked mode, your data remains stored for 30 more days; during that period you can restore full access by taking out a subscription, without any content being lost. If you do not take out a subscription within those 30 days, the account and content are deleted in full.

The paid contract for the subscription comes into being once you provide a valid means of payment in the booking form and bindingly confirm the booking ("order with obligation to pay"). Immediately afterwards, you receive a confirmation email containing the contract data, the withdrawal instructions and the model withdrawal form.

§ 4 Subscription price, payment, due date, existing-customer price guarantee

The subscription price is €2.50 per month (gross, including 19% statutory VAT). Payment is due on the booking day and is processed by our payment service provider Mollie B.V. (Netherlands). With each automatic renewal, the amount falls due again on the renewal day.

Existing-customer price guarantee: If nyinto raises the subscription price in the future, the higher price applies exclusively to newly concluded subscriptions. As long as your subscription continues without interruption, the price you started with remains unchanged — even across multiple automatic renewals. Only if your subscription is cancelled or otherwise ended, and you later take out a new subscription, will the then-current price apply.

§ 5 Term, cancellation, data retention after end of contract

The term of a subscription is exactly one month from the booking day (not the calendar month). Example: If booked on January 7, the first monthly term runs until February 6, 23:59. Unless you cancel by the last day of the current monthly term at the latest, the subscription renews automatically for another month on unchanged conditions.

Cancellation is possible at any time, effective at the end of the current monthly term, informally by email to support@nyinto.com or via the account function in your profile. There is no minimum term and no notice period beyond the current monthly term.

Data retention after subscription cancellation: When your subscription ends, the account and content are placed in locked mode for 6 months. During this time you have no access to your content; nyinto likewise does not access it in terms of substance (apart from technically necessary backups and migrations). If you take out a new subscription within those 6 months, your content is fully available again. After the 6 months elapse, the account and content are irrevocably deleted.

Active account deletion by you: If you delete your account yourself during a running subscription, your content is removed from the live database immediately; reactivation is then no longer possible. The retention period for backups is approximately 3 months (see Privacy Policy).

§ 6 Right of withdrawal

You have the right to withdraw from your subscription contract within fourteen days without giving any reason. The withdrawal period begins on the day the contract is concluded (= the day on which you bindingly booked the subscription).

of your decision to withdraw from this contract by means of an unequivocal statement (e.g. a letter sent by post or an email). You may use the attached model withdrawal form, but it is not mandatory.

To meet the withdrawal deadline, it is sufficient for you to send the communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you have requested that the service should begin during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until the time you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

If you wish to withdraw from the contract, you may complete this form and return it to us. You may also declare your withdrawal informally by email.

Pro-rata refund

If you have requested immediate provision of the service and the subscription was already active at the time of withdrawal, we will retain the share corresponding to the days already used within the current monthly term. The basis of calculation is the actual number of days of the current monthly term (typically 28–31 days), not a flat-rate 30-day value.

Example: You book on January 7 (term until February 6, 23:59 — 31 days). You withdraw on January 12; 5 days have already been used. We retain €2.50 × 5 / 31 ≈ €0.40 and refund €2.10.

§ 7 User obligations and prohibitions

You undertake not to misuse nyinto. In particular, the following is prohibited:

  • storing or uploading unlawful content (e.g. depictions of sexual violence against children, content inciting hatred) — even if such content is visible only to you,
  • storing or uploading third-party content (images, videos, texts) without the necessary rights,
  • distributing malware (viruses, trojans, worms, etc.),
  • automated mass access (bots, scrapers), reverse engineering, circumventing or disabling security or access mechanisms,
  • using the storage provided as a general cloud backup or file hosting service.

§ 8 Rights to your content

All rights to the content you enter or upload remain with you. nyinto acquires no ownership rights and no rights of use beyond what is described here. You grant nyinto solely the simple, non-exclusive licence — limited in time to the duration of the contract and not limited geographically — to store your content, process it technically, transmit it back to you and back it up as part of customary backup routines — exclusively to the extent technically necessary for providing the service.

Expressly excluded are:

  • the use of your content to train or improve artificial-intelligence models,
  • any form of commercial exploitation of your content,
  • the disclosure of your content to third parties (other than on the basis of an effective administrative or court order),
  • the publication of your content.

This licence terminates in full upon deletion of your account.

§ 9 Availability, maintenance, refund for prolonged outages

nyinto strives for the highest possible availability of the service but does not guarantee any specific availability rate (in particular no percentage SLA). Scheduled maintenance windows are permitted; for foreseeably longer maintenance, we will inform you in advance in the service or by email.

If, for reasons attributable to nyinto, the service is unreachable for more than 24 continuous hours within a billing month, we will refund a pro-rata share of the monthly fee on informal request to support@nyinto.com (calculated to the day with reference to the current monthly term, see § 6).

§ 10 External services

nyinto enables connections to external third-party services, in particular:

  • Strava (Strava, Inc., USA) — import of activities and tracks,
  • Komoot (Komoot GmbH, Germany) — import of tours,
  • Nextcloud — connection to your own Nextcloud instance for media and calendars,
  • Mollie B.V. (Netherlands) — payment processing,
  • OpenStreetMap Foundation (United Kingdom) — map display.

These services are provided by the respective third parties; their terms of service and privacy policies apply in addition. nyinto is not liable for the availability, functionality, content or data processing of these external services. Details on data processing for these services can be found in the Privacy Policy.

§ 11 Liability

nyinto is liable without limitation for damages caused by intent or gross negligence, as well as for damages arising from injury to life, body or health that are based on a negligent breach of duty by nyinto or a wilful or negligent breach of duty by a legal representative or vicarious agent of nyinto.

In cases of slight negligence, nyinto is liable only for breach of material contractual obligations (cardinal obligations), and even then limited in amount to the damage typically foreseeable for this type of contract. Material contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance you may regularly rely.

Liability beyond this — in particular for lost profits, indirect damages and consequential damages — is excluded, unless mandatorily provided otherwise by law. Liability under the German Product Liability Act and arising from express guarantees remains unaffected.

Data backup: nyinto backs up content internally as part of customary backup routines, but does not guarantee the recoverability of individual content. Responsibility for your own backups — for instance via regular data export — lies with you.

§ 12 Locking and extraordinary termination by nyinto

If you breach obligations under these Terms, nyinto is entitled to respond on a graduated basis:

  • Minor cases (e.g. one-off automated access): notice and request to cease and desist.
  • Moderate or persistent cases: temporary locking of the account. We will notify you of the lock and the reason for it.
  • Severe cases (in particular unlawful content or serious security violations): extraordinary termination of the contract and permanent locking of the account. In the event of reasonable suspicion of criminal conduct, we reserve the right to provide information to the competent authorities on the basis of an effective order.

Refund in the case of extraordinary termination:

  • If extraordinary termination occurs because of a breach attributable to you, a pro-rata refund of the current monthly fee is excluded.
  • If an account is locked for reasons not attributable to you, we will refund the unused portion of the month pro rata (see § 6 for the calculation).

§ 13 Changes to these Terms

nyinto reserves the right to amend these Terms, for example to reflect changes in legal requirements or to develop the service further. We will announce changes at least 6 weeks before they take effect by email to the address stored in your account.

Silence is not consent: Material changes only become part of the contract if you expressly agree to them. If you reject the change or do not respond, your subscription continues on the previous conditions until you cancel it. After an appropriate period, nyinto may, on its part, ordinarily terminate the subscription with effect from the end of the current monthly term.

This rule follows the case law of the German Federal Court of Justice (judgments of 27 April 2021, XI ZR 26/20 and XI ZR 27/20).

§ 14 Dispute resolution

The European Commission provides a platform for online dispute resolution (ODR), which you can reach at https://ec.europa.eu/consumers/odr.

nyinto is not willing and not obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 15 Final provisions

This contract is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers with their habitual residence in another EU member state, the protection afforded by mandatory consumer protection provisions of the state of residence remains unaffected.

The place of jurisdiction is determined by statutory provisions; for consumers, this is regularly the consumer's place of residence.

If individual provisions of these Terms are or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory regulation.
